At it’s latest luncheon, the Scottsdale Bar presents CLE, “To ESG, Or Not to ESG, That is the Question.” Speaker Jerry Worsham, of Clark Hill, will delve into the topic of Environment, Social and Corporate Governance (ESG) which exploded in 2022.
ESG started in earnest with President Biden’s Executive Order that all federal agencies must advance his administration’s climate-related agenda. One of the first manifestations of this EO was that the SEC issued the 301 page proposed rule “The Enhancement and Standardization of Climate-Related Disclosures for Investors.” This proposed rule would significantly affect the amount of narrative disclosures and calculations of greenhouse gas emissions (GHG) information required by publicly traded companies to complete the 10K and 10Q filings.
Is this proposed new information required by the SEC necessary or appropriate to protect the public interest, a necessary demand placed by the investing public or just “Woke Capitalism” to compel registered companies to create, gather and disclose a crushing amount of material divorced from the type of basic financial information investors need. Worsham will explore both sides of this ESG topic and some predictions of where it might impact corporate reporting and governance in the future.
